TPG store considers debt-for-equity plan to save struggling Alinta

TPG Opportunities Partners is spearheading a organic restructuring proposal for Alinta Energy.

The plan that could see the supply and fellow lenders take control of the debt-laden company.

The TPG distressed-debit fund, whose chief Alan Waxman visited Australia last week, is believed to acquire teamed up with other lenders to draft a plan to resurrect the troop as a single entity.

The proposal is in its very in season stages, and is likely to be predicated on Alinta’s ongoing asset market process failing to deliver value above the current debt burden of $2.6 billion in more advanced loans.

A handful of parties have been in data rooms determine by Alinta advisers Macquarie Capital and UBS, examining bids for individual possessions.

These parties reportedly include ATCO, GDF Suez, BHP Billiton, ANZ-advised Saudi Arabian collection ACWA Power International, Arcapita and a consortium of APA Group, Japan’s Marubeni and Origin Energy.

For example, Origin Energy has been keen to buy Alinta’s WA deal out in small portions customer portfolio. AGL sold it to Alinta in 2007 for the synonymous of $1.6bn, but it is now said to be virtue between $800 million and $1bn.

TPG Opportunities Partners is reckoned to own become the single largest holder of Alinta’s debt after snapping up securities in the deputy market. It holds as much as $500m of Alinta debt, according to sources.

The innovative obligation-for-equity swap would deliver certainty for Alinta, which has interests in 12 army plants with installed capacity of 3000MW, and 580,000 energy customers in Western Australia.

Secondary mercantile in Alinta’s debt in the past week has heated up, mayhap reflecting several of the original banks selling out.

It has been suggested German bank West LB, single in kind of the original 11 syndicate members, may have been a sharer in the recent trading activity. TPG Opportunities Partners is being advised by Moelis & Co and Goldman Sachs.

TPG Opportunities Partners is organ of the broader Fort Worth, Texas-based TPG Capital group. However, the current bid does not involve the private equity arm, whose local operation is led ~ means of Ben Gray and which recently clinched a joint acquisition of hospital executor Healthscope.

Alinta, formerly known as Babcock & Brown Power, said in June that it was assessing the deleveraging operation being run by Macquarie and UBS, including asset sales and leading management options.

Advisory investment bank Lazard was also brought in to study proposals up~ the body behalf of the independent directors. But with individual bids likely to get to in below the book value of senior debt, lenders are expected to flicker at the offers. In this scenario, the company, which auditors warned in February was in danger of not being a going concern, would be teetering on the brim of calling in administrators, which could pressure Alinta’s creditors to treat with a debt restructuring.

A separate hedge fund group that holds Alinta obligation is also said to have raised the prospect of a liability-for-equity swap packaged with placing Alinta’s holding company into conduct to prevent the termination of contracts at the operating company.
